Consumer terms for Orbit by BAM Meridian LLC

Terms of Service

Effective date: November 4, 2026

These Terms of Service ("Terms") govern your access to and use of Orbit, including the Orbit website, web application, mobile applications, and related services (collectively, the "Service"). Orbit is provided by BAM Meridian LLC ("BAM Meridian," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

1. Eligibility and Accounts

You must be legally capable of entering into a binding agreement in your jurisdiction. You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and for activity under your account. Do not share credentials or use another person's account without authorization.

2. What Orbit Provides

Orbit is a personal productivity and organization service designed to help users plan tasks, build habits, use focus sessions, reflect, and organize their day. Orbit is not a medical, mental-health, financial, legal, or other professional service. Content and prompts in Orbit are for general productivity and informational purposes and are not professional advice.

3. Acceptable Use

You may use Orbit only lawfully and in accordance with these Terms. You may not:

  • attempt to gain unauthorized access to the Service or another user's data;
  • interfere with, probe, overload, reverse engineer, or circumvent security or access controls except where applicable law expressly permits;
  • use the Service to distribute malware, unlawful content, spam, or content that infringes others' rights;
  • use automated means to scrape or extract data from the Service except through an interface we expressly provide;
  • misrepresent your identity or use Orbit to harm, harass, or defraud others.

4. Your Content and Data

You retain ownership of content you enter into Orbit, such as tasks, habits, lists, and reflections ("User Content"). You grant BAM Meridian a limited, non-exclusive license to host, process, reproduce, transmit, and display User Content only as reasonably necessary to operate, secure, support, and improve the Service and to comply with law. We do not claim ownership of your User Content.

5. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. By using Orbit, you acknowledge those practices. Where consent is legally required for a particular processing activity, we will seek it separately.

6. Free and Paid Services

Orbit may offer free features and paid subscriptions. The features, limits, prices, billing periods, trials, and renewal terms shown at purchase are part of your agreement. We may change plans or prices prospectively, subject to applicable law and any notice required by the applicable app store or payment provider.

7. Subscriptions, Trials, Renewal, and Cancellation

If you purchase a subscription, it may automatically renew unless cancelled before the renewal date. Before purchase, Orbit will display the price, billing frequency, trial terms (if any), and material subscription terms. Purchases made through Apple App Store or Google Play are billed and managed under the applicable store's payment and cancellation rules. Web purchases, if offered, are managed through the payment method and provider presented at checkout. Cancelling stops future renewal but does not ordinarily provide a retroactive refund except where required by law or the applicable store/provider policy. Your User Content will not be deleted merely because a paid subscription ends; however, access to paid features may stop and free-plan limits may apply.

8. Account Deletion

You may request deletion of your Orbit account through the in-app account settings and, where provided, through Orbit's web deletion pathway. Account deletion is different from cancelling a subscription. Subject to legal retention obligations and limited backup retention, we will delete or de-identify personal data associated with the account as described in our Privacy Policy. If you have an active app-store subscription, you may also need to cancel it through the applicable store to stop future billing.

9. Intellectual Property

Orbit, including its software, design, branding, logos, interfaces, and non-user content, is owned by or licensed to BAM Meridian and is protected by intellectual-property laws. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

10. Third-Party Services

Orbit may rely on or integrate with third-party services, such as authentication, hosting, email, app stores, and payment providers. Their services may be governed by separate terms and privacy policies. We are not responsible for third-party services outside our control, but we remain responsible for our own obligations regarding personal data we entrust to service providers.

11. Availability and Changes

We aim to provide a reliable Service, but Orbit may occasionally be unavailable for maintenance, security, outages, or other reasons. We may add, change, suspend, or discontinue features. Where a material change adversely affects a paid subscription, we will provide notice where required by law.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” BAM Meridian disclaims warranties not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

13. Limitation of Liability

To the maximum extent permitted by law, BAM Meridian will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from or related to the Service. To the maximum extent permitted by law, BAM Meridian's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to BAM Meridian for Orbit during the 12 months before the event giving rise to liability or (b) US$100. These limitations do not apply where prohibited by law.

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold BAM Meridian harmless from third-party claims arising from your unlawful misuse of the Service or your violation of another person's rights. This section does not apply to the extent a claim results from BAM Meridian's own conduct.

15. Termination

You may stop using Orbit at any time. We may suspend or terminate access where reasonably necessary for security, fraud prevention, legal compliance, material breach of these Terms, or protection of users or the Service. Where appropriate, we will provide notice and an opportunity to address the issue.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except to the extent mandatory consumer-protection law in your jurisdiction applies. Any dispute not subject to a mandatory local forum will be brought in a court of competent jurisdiction in New York, New York. We encourage you to contact us first so we can try to resolve concerns informally.

17. Changes to These Terms

We may update these Terms. If changes are material, we will provide reasonable notice through the Service, email, or another appropriate channel. The “Effective date” above identifies the current version.
